INFINITE PARTS TERMS OF USE

For the purposes of this TOU with pertaining appendices, the below terms shall have the following meanings unless otherwise stated or clear from the context:

• 2.1 “Company / We / Us / Our” refers to BRIGHTSIDE INNOVATIONS (GBC).
• 2.2 “Platform” refers to the Infinite Parts website, mobile application, and related services.
• 2.3 “User” refers to any person, company, or other legal entity that makes use of the Platform.
• 2.4 "Seller" refers to any User listing vehicle parts.
• 2.5 "Buyer" refers to any User sourcing or purchasing parts.
• 2.6 “Content” includes listings, images, data, and uploaded material.

• 3.1 Infinite Parts operates solely as an intermediary marketplace platform.
• 3.2 We:
  • 3.2.1 Do not own, stock, or sell any parts.
  • 3.2.2 Are not a party to any transaction between Users.
  • 3.2.3 Do not act as agent for any User.
• 3.3 All transactions are concluded directly between Buyers and Sellers.
• 3.4 Users acknowledge that:
  • 3.4.1 Sellers are solely responsible for the accuracy, legality and quality of listings.
  • 3.4.2 Buyers transact at their own risk.

• 4.1 Users must provide accurate and complete registration information.
• 4.2 Users are responsible for:
  • 4.2.1 Maintaining account confidentiality.
  • 4.2.2 All activity under their account.
• 4.3 We may suspend or terminate accounts on reasonable grounds, including:
  • 4.3.1 Breach of these Terms.
  • 4.3.2 Fraudulent or unlawful activity.
  • 4.3.3 Misuse of the Platform.

• 5.1 Sellers warrant that:
  • 5.1.1 They have full legal right and title to sell listed parts.
  • 5.1.2 Parts are not stolen, counterfeit, or unlawfully obtained.
  • 5.1.3 Listings are accurate, complete and not misleading.
• 5.2 Sellers must clearly disclose:
  • 5.2.1 Condition (new, used, reconditioned, salvaged, or any other condition option made available by the Platform).
  • 5.2.2 Compatibility and specifications.
  • 5.2.3 Pricing, including VAT where applicable.
• 5.3 Sellers are solely responsible for:
  • 5.3.1 Fulfilment of orders.
  • 5.3.2 Delivery arrangements.
  • 5.3.3 Warranties (if any).
  • 5.3.4 Compliance with applicable laws.

• 6.1 Buyers agree to:
  • 6.1.1 Independently verify compatibility and suitability of parts.
  • 6.1.2 Conduct due diligence before completing any transaction.
• 6.2 Buyers acknowledge that:
  • 6.2.1 Infinite Parts does not guarantee product quality, authenticity or fitness for purpose.
  • 6.2.2 All purchases are made at the Buyer's own risk.

• 7.1 Infinite Parts is not involved in payments, delivery or contractual obligations between Users unless expressly stated.
• 7.2 Any dispute arising between Users must be resolved directly between the Buyer and Seller.
• 7.3 The Platform may, at its discretion, assist in dispute resolution but is under no obligation to do so.

• 8.1 Sellers may be required to pay subscription fees for access to certain features.
• 8.2 Fees:
  • 8.2.1 Are billed in advance.
  • 8.2.2 Are non-refundable, except where required by law.
  • 8.2.3 Do not guarantee sales, leads, or performance.
• 8.3 Failure to pay may result in suspension or termination of access.

• 9.1 All Platform intellectual property remains the exclusive property of Infinite Parts
• 9.2 Users may not:
  • 9.2.1 Copy, scrape, or extract data.
  • 9.2.2 Reproduce or distribute content without consent.
  • 9.2.3 Reverse engineer the Platform.
• 9.3 By submitting Content, Users grant Infinite Parts a worldwide, non-exclusive, royalty-free licence to use such Content for operational and marketing purposes.

• 10.1 Users may not:
  • 10.1.1 Post false, misleading or unlawful content.
  • 10.1.2 List stolen or counterfeit parts.
  • 10.1.3 Interfere with Platform functionality.
  • 10.1.4 Use the Platform for spam, harassment, or abuse.
• 10.2 We reserve the right to remove content and take legal action where necessary.

• 11.1 Reviews must be honest and based on genuine experiences.
• 11.2 We reserve the right to:
  • 11.2.1 Moderate, remove, or restrict reviews.
  • 11.2.2 Act against abusive or false submissions.

• 12.1 We process personal information in accordance with the Protection of Personal Information Act (POPIA).
• 12.2 By using the Platform, you consent to:
  • 12.2.1 Processing of your personal information for operational purposes.
  • 12.2.2 Sharing of relevant information between Buyers and Sellers.
• 12.3 Users have the right to:
  • 12.3.1 Access their personal information.
  • 12.3.2 Request correction or deletion of their personal information.
  • 12.3.3 Object to processing where applicable.
• 12.4 Personal data may be stored or processed in jurisdictions outside South Africa, subject to appropriate safeguards.
• 12.5 Full details are contained in our Privacy Policy.

• 13.1 The Platform is provided “as is” and “as available.”
• 13.2 We make no warranties regarding:
  • 13.2.1 Availability or uptime.
  • 13.2.2 Accuracy of listings.
  • 13.2.3 Quality, legality, or safety of parts.
• 13.3 Infinite Parts does not guarantee:
  • 13.3.1 That parts are fit for purpose.
  • 13.3.2 That transactions will be completed successfully.

• 14.1 To the maximum extent permitted by law, Infinite Parts shall not be liable for:
  • 14.1.1 Indirect, incidental, or consequential damages.
  • 14.1.2 Loss of profits, revenue, or business opportunities.
  • 14.1.3 Disputes between Users.
• 14.2 Our total liability, if any, shall be limited to the amount paid by the User to Infinite Parts in the preceding three (3) months.
• 14.3 Nothing in these Terms excludes liability where such exclusion is not permitted under the Consumer Protection Act.

• 15.1 You agree to indemnify and hold harmless Infinite Parts against any claims, damages, losses, or expenses arising from:
  • 15.1.1 Your use of the Platform.
  • 15.1.2 Your Content or listings.
  • 15.1.3 Any breach of these Terms.
  • 15.1.4 Any transaction you enter into.

• 16.1 We do not guarantee uninterrupted access to the Platform.
• 16.2 We shall not be liable for failure or delay caused by events beyond our control, including:
  • 16.2.1 Power outages
  • 16.2.2 Network failures
  • 16.2.3 Natural disasters
  • 16.2.4 Acts of government

• 17.1 We may suspend or terminate your access on reasonable grounds, including:
  • 17.1.1 Breach of these Terms.
  • 17.1.2 Fraudulent or unlawful conduct.
  • 17.1.3 Risk to the Platform or other Users.

• 18.1 We may update these Terms from time to time.
• 18.2 Continued use of the Platform constitutes acceptance of the updated Terms.

• 19.1 These Terms are governed by the laws of the Republic of South Africa.
• 19.2 Any disputes shall be subject to the exclusive jurisdiction of the High Court of South Africa, Gauteng Division (Johannesburg).
